💔 So You’re Breaking Up With Your Business… Here’s How to Dissolve Your LLC (Without Losing Your Mind)

So the spark is gone. The passion? Meh. Maybe your LLC was a summer fling. Or maybe it was more like a messy situationship — with receipts, too many Canva files, and a business partner you now only text “per my last email.”
Either way, you’re ready to move on. Respect.👏
Let’s be honest: Dissolving your LLC sounds dramatic, but it doesn’t have to be messy — especially if you do it right (or, you know, let us do it right for you).

🚩 Step 1: Admit It’s Over (Emotionally and Legally)
Business owners avoid dissolving their LLCs because it feels final — like deleting your wedding Pinterest board. But keeping an inactive LLC alive means:
Ongoing state filing requirements
Late fees or penalties if you forget to file
Being tracked down by the IRS even though you haven’t sold a thing since 2021
If you’re not using the LLC anymore, save yourself the stress and file the breakup paperwork.
✍️ Step 2: Write the “It’s Not Me, It’s You” Letter
AKA a Resolution to Dissolve — a short document that says, “Hey, I’m the boss and I’m choosing to shut this thing down.”
If you’re the only member of your LLC (single-member), this is super simple. You literally just sign a document stating you're closing.
If you’re in a multi-member LLC, you’ll need agreement from all members per your operating agreement (so yes, it might require one last awkward group chat).
We include this resolution as part of our service — but if you're DIYing it, search your state’s sample templates or ask a legal site for a boilerplate.
📬 Step 3: File the Articles of Dissolution
This is where the state gets involved — and where most DIY dreams go to die.
You’ll need to:
Go to your Secretary of State’s website
Find the correct Articles of Dissolution form (sometimes called a Certificate of Termination)
Fill it out exactly right (typos = rejection)
Pay a filing fee (usually $25–$100)
Submit online or by mail
Pro tip: The form is different in every state, so don’t assume you can copy what your friend in Texas did if you’re in Oklahoma.
Still feeling brave? Go for it.

🧾 Step 4: Close the Loops
Before you dip:
Pay off business debts
Cancel any subscriptions or services tied to the LLC (Zoom, Mailchimp, that bougie business phone line you never answered)
Close your business bank account
File your final tax return (check the “final return” box when you file your Schedule C or corporate return)
Notify your state tax agency and IRS that your EIN is no longer in use (optional, but tidy)
💡 Step 5: Cancel Licenses & Permits
Depending on your business type, you might need to cancel:
Seller’s permits
Business licenses
Local tax IDs
Yelp profiles, Google Business listings, etc.
If you skip this part, don’t be surprised if a business license renewal shows up in your inbox next year like an ex who “just wanted to check in.”
🎁 Step 6: Keep the Receipts
Once you dissolve your LLC, keep digital copies of:
The signed resolution
The filed Articles of Dissolution
Your final tax documents
Any confirmation letters/emails from the state
Why? Because one day you might need to prove your business is closed — for taxes, legal reasons, or to show your new business boo that you’ve healed.
Why K Solutions?
Because legal stuff doesn’t have to be confusing, and you shouldn’t be on government websites at 2 AM trying to figure out what “Section C, Line 7b” means.
We:
Handle everything from start to finish
File directly with your state
Draft all documents
Send you a tidy folder of records
Charge a flat $120 (no surprise fees, no drama)
